ASX - Listing Work

We act for a number of small to medium public companies in respect of the ASX Listing Rule and Corporations Act compliance work.

Apart from the assistance in the day to day operations, such as preparation for Board meetings, AGM and ongoing disclosure requirements, we have undertaken specific strategic advice in respect of one off transactions including:

acting for a public company in respect of a takeover offer by a major shareholder.
advising on compliance requirements for related party transactions.
acting for a major shareholder in a hostile takeover bid of a small public company in the agriculture industry
back door listing of a major travel business into a defunct mining company.

We also undertake associated local and international due diligence with each of these transactions.

Pre IPO and Equity Investment

We acted in the negotiation of a private equity investment by a high profile US venture capitalist in the on line gambling industry.

Security Documentation and other capital raising arrangements

We have assisted major multinational clients renegotiate their banking facilities, to structure their arrangements in a more cost effective and efficient manner.

Some of the more quirky transactions include the securitisation of livestock, by way of lease and mortgage documentation for the livestock.
