David specialises in corporate fundraising, directors duties, ASX Compliance, commercialisation of intellectual property, corporate restructuring, estate and succession planning, asset protection, insolvency and corporate work-out and restructuring strategies.

David has worked closely with and within the financial industry, public company and higher learning and education sectors for more than 30 years.  Between 1980 and 1990, David worked as a merchant banker, principally in the areas of funding working capital, debt/equity, IPOs, takeovers, backdoor listings and venture capital transactions.

David advises on corporate governance, including investor, subscriber, shareholder and unitholder rights, information memoranda and prospectuses and the duties of directors and other company officers.  He represents shareholders and unitholders, and attends and advises at shareholders’ and directors’ meetings of major corporations.

David has extensive experience in structuring joint ventures, financial instruments, franchise systems, licensing arrangements, protection and commercialisation of intellectual property (including with tertiary education and research institutions), mergers and acquisitions, and sophisticated shareholder unitholder agreements and convertible note documentation.  David assist philanthropic and non-profit organisations secure charitable and DGR status.

David is a member of The Insolvency Practitioner Association of Australia, which provides a range of services the firm is able to access on behalf of its clients.

David also consults to accountants and family lawyers in undertaking forensic analysis to identify and trace assets.

David is a Director of Melbourne Institute of Technology, a tertiary educational institution in Australia that offers a range of academic programs in Business, Accounting, Management, Marketing, Information Technology, Computer Networking, and Telecommunications Engineering, ranging from undergraduate (university pathway Diploma and Bachelor) through to postgraduate degrees.

He is also a Director of NGO’s ‘Eat Up Limited’ which is a community-based programme that prepares and delivers lunches to students in need at 100 plus schools throughout Victoria, and ‘Life Again Limited’ which is an organisation that inspires men to do their best and helping them avoid the costly cycle of depression and anxiety.

He works pro bono for communities on the Tiwi Islands.

David holds a Bachelor of Laws (Honours) and a Bachelor of Commerce.
